Except as specifically provided in this Agreement, Footage provided to Licensee may not be shared, sublicensed, resold or redistributed on a stand alone basis such as a stock footage library or collection or as downloadable files or within any electronic template where the purpose is to create multiple electronic copies, including but not limited to electronic business cards, electronic greeting cards, website design templates, presentation templates or the resale or distribution of the Footage as a stand-alone file. The Footage also may not be used in a pornographic, defamatory, libelous or otherwise illegal manner or in a way that brings harm to an individual, company or trademark. Warranties
Stock Footage World warrants that it is the sole and exclusive owner of all right, title, and interest to the Footage, or it has secured the right to license the Footage on behalf of a third party. Stock Footage World does not provide any model or property releases with respect to the Footage and grants no rights and makes no warranties with regard to the use of people, names, trademarks or copyrighted designs or works of art or architecture depicted in any of the Footage. You shall be solely responsible for determining whether a clearance or release is required for any proposed use of the Footage. The only exception are video clips that contain the words "Model Released Series" within the shot description, as we do have signed model releases for these shots. Stock Footage World makes no other warranty, express or implied. No covenants, agreements, representations or warranties of any kind whatsoever have been made by either party hereto, except as specifically set forth herein. All prior discussions and negotiations have been and are merged and integrated into and are superseded by this Agreement. Limitation on Liability
Stock Footage World will not be liable to you for any special, punitive, consequential or incidental damages including, without limitation, damages for loss of profits, business interruption or loss of business information arising out of the use of, or the inability to use the Footage. Stock Footage World's entire liability and your exclusive remedy shall be limited to the amount you paid for the Footage. Stock Footage World reserves the right, in its sole discretion, to revoke this license if full payment has not been received. All Footage is sold "as is" and all sales are final with no refunds. The Licensee is defined as a "single" entity such as an individual or legal entity such as a corporation, partnership, LLC or sole proprietorship. This Agreement, and all claims, disputes, actions or proceedings arising out of or relating hereto or to the transactions contemplated hereby, shall be governed by, and construed in accordance with, the laws of the State of Oregon. Each party hereto irrevocably submits to the jurisdiction of the courts of Oregon, of any United States District Court located therein, and of any federal appellate court reviewing any decision of any such District Court. Each party hereto hereby irrevocably waives all right to trial by jury in any action, proceeding or counterclaim (whether based on contract, tort or otherwise) arising out of or relating hereto or to the transactions contemplated thereby. If any aspect or statement of this Agreement is judged unenforceable, the legality and enforceability of the other provisions of this Agreement will not be affected. This Agreement contains all the terms of the license agreement and no terms or conditions may be added or deleted unless made in writing and signed by an authorized representative of both parties. In the event of any inconsistency between the terms contained herein and the terms contained on any purchase order sent by Licensee, the terms of this Agreement shall govern.
